يُرجى قراءة هذه الشروط بعناية للتأكد من فهمكم لكل بند. تحتوي هذه الشروط على بند إلزامي بالتحكيم الفردي وعلى تنازل عن الدعاوى الجماعية/المحاكمة أمام هيئة محلفين، يقتضي استخدام التحكيم على أساس فردي لحل النزاعات، بدلاً من المحاكمات أمام هيئة محلفين أو الدعاوى الجماعية.

يجوز لكم استخدام الخدمات فقط وفقاً لشروط الاستخدام هذه وسياسة الخصوصية الخاصة بنا ومع مراعاتهما (متاحة على https://www.italist.com/us/privacy).

مع مراعاة شروط وأحكام هذه الشروط، يُمنَح لكم بموجب هذا ترخيص غير حصري، محدود، غير قابل للتحويل، وقابل للإلغاء بحرية، لاستخدام الخدمات لاستخدامكم الشخصي غير التجاري فقط وبما تسمح به ميزات الخدمات. وأي منتجات تطلبونها عبر الخدمة هي لاستخدامكم الشخصي الخاص فقط وليست لإعادة البيع. وتحتفظ italist بجميع الحقوق غير الممنوحة صراحةً في هذه الشروط فيما يتعلق بالخدمات ومحتوى italist (كما هو مُعرَّف أدناه). ويجوز لـ italist إنهاء هذا الترخيص في أي وقت لأي سبب أو دون سبب.

بمجرد إكمالكم لتسجيلكم وإرساله، تكونون قد اخترتم تلقّي المراسلات عبر البريد الإلكتروني منا. وبتزويد italist بعنوان بريدكم الإلكتروني، فإنكم توافقون على استخدامنا لعنوان البريد الإلكتروني لإرسال إشعارات متعلقة بالخدمات إليكم، بما في ذلك أي إشعارات يقتضيها القانون، بدلاً من التواصل عبر البريد العادي. وقد نستخدم أيضاً عنوان بريدكم الإلكتروني لإرسال رسائل أخرى إليكم، مثل التغييرات على ميزات الخدمات والعروض الخاصة. وإذا كنتم لا ترغبون في تلقّي مثل هذه الرسائل الإلكترونية، فيمكنكم إلغاء الاشتراك أو تغيير تفضيلاتكم بمراسلة خدمة العملاء على customercare@italist.com أو باختيار "unsubscribe" أو ما شابهها من أسفل الرسالة الإلكترونية واتّباع التعليمات. وقد يمنعكم إلغاء الاشتراك من تلقّي رسائل إلكترونية بخصوص التحديثات أو التحسينات أو العروض.

لا يجوز لكم استخدام الخدمات لأي غرض غير قانوني أو محظور بموجب هذه الشروط، أو للحثّ على أداء أي نشاط غير قانوني أو أي نشاط آخر ينتهك حقوق italist أو حقوق الآخرين. وبصرف النظر عن أي حقوق أو قيود أخرى في هذه الشروط، لا يجوز لكم استخدام الخدمات من أجل: (أ) نقل أي معلومات أو بيانات أو نصوص أو صور أو ملفات أو روابط أو برامج عبر الخدمات أو من خلالها إلا فيما يتعلق باستخدامكم المصرّح به للخدمات أو استجابةً لطلبات محددة للحصول على معلومات من جانبنا؛ (ب) إدخال أي فيروسات حاسوبية أو فيروسات مواقع إلكترونية أو ديدان أو أحصنة طروادة و/أو أكواد ضارة إلى مواقعنا الإلكترونية أو تطبيقاتنا للهاتف المحمول أو فيما يتعلق بالخدمات؛ (ج) الحصول على وصول غير مصرّح به إلى أي نظام حاسوبي؛ (د) انتحال شخصية أي شخص آخر، بما في ذلك على سبيل المثال لا الحصر، مستخدم مسجّل في الخدمات أو موظف لدى italist؛ (هـ) انتهاك خصوصية أو أي حق شخصي أو حق ملكية (بما في ذلك حقوق الملكية الفكرية) لأي شخص أو كيان؛ (و) تحريف هوية مستخدم أو استخدام عنوان بريد إلكتروني مزيف؛ (ز) العبث بمواقعنا الإلكترونية أو تطبيقاتنا للهاتف المحمول أو أي مكوّن منها أو الحصول على وصول إليها؛ (ح) القيام بأنشطة احتيالية (بما في ذلك على سبيل المثال لا الحصر، الاستخدام غير المصرّح به لبطاقة ائتمان، أو تقديم طلب مع عدم وجود أموال كافية، أو استخدام حساب أو خدمة دفع إلكترونية مزيفة)؛ أو (ط) جمع أو حصاد معلومات بخصوص مستخدمين آخرين للخدمات لأي سبب كان، بما في ذلك على سبيل المثال لا الحصر، إرسال بريد إلكتروني تجاري غير مرغوب فيه إلى هؤلاء المستخدمين.

يجوز لكم استخدام الخدمات فقط بصفتكم مشترياً فردياً حسن النية. ولا يجوز لكم استخدام الخدمات نيابةً عن أي بائع تجزئة أو مُعيد بيع أو علامة تجارية أو مستخدم مؤسسي أو ما شابه من أطراف خارجية. ولا يجوز لكم استخدام الخدمات لشراء أي بضائع لأغراض غير الاستخدام الشخصي. وتشمل الممارسات المحظورة، على سبيل المثال لا الحصر، عمليات الشراء نيابةً عن أي بائع تجزئة أو مُعيد بيع أو علامة تجارية أو مستخدم مؤسسي أو ما شابه.

لا يجوز لكم أبداً استخدام حساب مستخدم آخر دون إذن. وعند إنشاء حسابكم، يجب عليكم تقديم معلومات دقيقة وكاملة، ويجب عليكم إبقاء هذه المعلومات مُحدَّثة. وأنتم وحدكم المسؤولون عن النشاط الذي يحدث على حسابكم، ويجب عليكم الحفاظ على أمان كلمة مرور حسابكم. ونشجّعكم على استخدام كلمات مرور "قوية" (كلمات مرور تستخدم مزيجاً من الأحرف الكبيرة والصغيرة والأرقام والرموز) مع حسابكم. ويجب عليكم إخطار italist فوراً بأي خرق أمني أو استخدام غير مصرّح به لحسابكم. ولن تكون italist مسؤولة عن أي خسائر ناجمة عن أي استخدام غير مصرّح به لحسابكم.

يجوز لنا، دون إشعار مسبق، تغيير الخدمات؛ أو التوقّف عن تقديم الخدمات أو ميزات الخدمات، لكم أو للمستخدمين عموماً؛ أو وضع حدود للاستخدام للخدمات. ويجوز لنا إنهاء أو تعليق وصولكم إلى الخدمات بشكل دائم أو مؤقت دون إشعار ودون مسؤولية لأي سبب، بما في ذلك إذا قرّرنا وفقاً لتقديرنا المطلق أنكم انتهكتم أي بند من هذه الشروط، أو دون سبب. وعند الإنهاء لأي سبب أو دون سبب، تظلّون ملتزمين بهذه الشروط.

تتوفّر الخدمات للأعضاء الذين تبلغ أعمارهم 18 عاماً فأكثر، والذين سجّلوا بشكل صحيح، والذين لم يتم تعليقهم أو إزالتهم من قِبل italist لأي سبب ("العضو"). وبتسجيلكم كعضو، فإنكم تقرّون بأنكم بلغتم السن القانونية. وبصفتكم عضواً، توافقون على تقديم معلومات صحيحة ودقيقة وحديثة وكاملة عن أنفسكم كما يطلبها نموذج التسجيل الخاص بنا. والعضوية باطلة حيثما يحظرها القانون. وتحتفظ italist بالحق في إلغاء أو حظر عضويتكم لأي سبب في أي وقت، دون إشعار، ولا سيما عند أي انتهاك لأي من شروط الاستخدام هذه أو سياسة الخصوصية.

قد تسري شروط وأحكام إضافية على أجزاء محددة من الخدمات أو المنتجات أو الخدمات التي نقدّمها أو على عضويتكم، مثل المعلومات المقدَّمة ضمن قسم خدمة العملاء على موقعنا الإلكتروني على: https://italist.com/pages/help-center، وهي شروط تُعدّ جزءاً من هذه الشروط بالإشارة إليها. وتوافقون على الالتزام بهذه الشروط والأحكام الأخرى. وفي حال وجود تعارض بين هذه الشروط والشروط المنشورة أو المُرسَلة عبر البريد الإلكتروني بشأن جزء محدد من الخدمات أو المنتجات أو الخدمات التي نقدّمها أو عضويتكم، أو المطبَّقة عليها، تسود الشروط الأخيرة فيما يتعلق باستخدامكم لذلك الجزء أو تلك المنتجات أو الخدمات أو عضويتكم.

إذا سجّلتم كمستخدم لـ italist.com، وقدّمتم خدمات سفير علامة تجارية لـ italist.com عبر برنامج يديره طرف خارجي، فإنكم، بالإضافة إلى أي شروط وأحكام قد تخضعون لها بموجب هذا البرنامج، تقرّون وتضمنون وتوافقون صراحةً أيضاً على أن (1) لديكم جميع التصاريح والموافقات والتفويضات اللازمة لأداء هذه الخدمات، دون أي تعارض أو عائق قانوني أو غيره؛ (2) ستكونون وحدكم المسؤولين عن أي وجميع الإقرارات الضريبية والمسؤوليات والمدفوعات الناشئة عن المقابل المستلم عن خدمات سفير العلامة التجارية هذه؛ و(3) توافقون على إبراء ذمة italist Inc. من أي وجميع المطالبات الناشئة عن أدائكم لخدمات سفير العلامة التجارية أو المتعلقة به.

أي وجميع المحتوى الذي يساهم به العضو فيما يتعلق بخدماتنا، بما في ذلك جميع الصور الفوتوغرافية والمقالات والصور والرسومات ومقاطع الفيديو والأصوات والموسيقى والتسجيلات الصوتية والنصوص والملفات والملفات الشخصية والمراسلات والتعليقات والملاحظات والمراجعات والاقتراحات والأفكار والمفاهيم والأسئلة والبيانات أو أي محتوى آخر ("محتوى الأعضاء") هو مسؤولية العضو وليس italist، ويُعتبر غير سري وغير مملوك حصرياً.

بإرسال أو نشر أي محتوى للأعضاء، فإنكم تمنحون italist وشركاتها التابعة ترخيصاً دائماً وغير قابل للإلغاء وخالياً من حقوق الملكية وعالمياً وقابلاً للترخيص من الباطن وقابلاً للتحويل لنسخ أو نشر أو ترجمة أو تعديل أو إعادة تنسيق أو إنشاء أعمال مشتقة من أو توزيع أو استنساخ أو بيع أو عرض أو نقل أو نشر أو بثّ أو استضافة أو أرشفة أو تخزين أو تخزين مؤقت أو استخدام أو استغلال محتوى الأعضاء كله أو أي جزء منه بأي شكل آخر، بالإضافة إلى اسمكم وشخصيتكم وصورتكم المُدرجة في أي محتوى للأعضاء ومعرّف حسابكم على وسائل التواصل الاجتماعي واسم المستخدم واسمكم الحقيقي وصورة ملفكم الشخصي و/أو أي معلومات أخرى مرتبطة بمحتوى الأعضاء، بأي طريقة تجارية أو غير تجارية كانت، كلياً أو جزئياً، في أي وجميع قنوات التوزيع والأشكال والوسائط أو التقنيات، سواء المعروفة الآن أو التي تُطوَّر لاحقاً، بما في ذلك على سبيل المثال لا الحصر في المتاجر والمواد التسويقية المطبوعة والرسائل الإلكترونية وصفحات الويب وحسابات وسائل التواصل الاجتماعي ولأي أغراض تسويقية أو إعلانية أو علاقات عامة أو مبيعات أو ترويجية أخرى مع أو دون نسب المصدر ودون إشعار إضافي لكم. ولن يكون لكم ولا لأي شخص أو كيان آخر الحق في (1) تلقّي أي حقوق ملكية أو مقابل من أي نوع مقابل استخدام محتوى الأعضاء بموجب هذه الشروط أو (2) فحص أو الموافقة على النسخة التحريرية أو أي مادة أخرى قد تُستخدم فيما يتعلق بمحتوى الأعضاء. وستكون italist حرة في استخدام أي أفكار أو مفاهيم أو معرفة فنية أو تقنيات واردة في محتوى الأعضاء هذا لأي غرض كان، بما في ذلك على سبيل المثال لا الحصر تطوير وتصنيع وتسويق منتجات تدمج هذه المعلومات أو تعتمد عليها. ولن يكون على italist أي التزام بمراقبة محتوى الأعضاء أو استخدامه أو عرضه أو تعويضكم عن إرسال محتوى الأعضاء أو الردّ على أي محتوى للأعضاء. وتحتفظ italist بالحق، وفقاً لتقديرها المطلق ودون إشعار مسبق، في إزالة أو مراجعة أو رفض نشر أي محتوى للأعضاء لأي سبب أو دون سبب. ومع مراعاة التراخيص الممنوحة في هذه الشروط، تحتفظون بملكية أي حقوق نشر وحقوق أخرى قد تكون لكم في محتوى الأعضاء.

تملك ITALIST الحق المطلق في إزالة و/أو حذف أي محتوى للأعضاء ضمن سيطرتها تراه غير مقبول دون إشعار. وأنتم توافقون على هذه الإزالة و/أو الحذف وتتنازلون عن أي مطالبة ضد ITALIST بشأن هذه الإزالة و/أو الحذف.

باستثناء محتوى الأعضاء، نعتقد أن المعلومات التي نقدّمها فيما يتعلق بالخدمات كاملة وموثوقة؛ إلا أن المعلومات قد تحتوي على أخطاء مطبعية وأخطاء في التسعير وأخطاء أو معلومات غير دقيقة أخرى. وسنبذل جهوداً معقولة لتصحيح الأخطاء في أقرب وقت ممكن عملياً. ونحتفظ بالحق في: (1) إلغاء أي عرض مذكور؛ (2) تصحيح أي أخطاء أو معلومات غير دقيقة أو إغفالات؛ و(3) إجراء تغييرات على الأسعار أو المحتوى أو العروض الترويجية أو أوصاف المنتجات أو مواصفاتها أو غيرها من المعلومات دون التزام بإصدار أي إشعار بهذه التغييرات (بما في ذلك بعد تقديم طلب أو الإقرار به أو شحنه أو استلامه، إلا حيثما يحظر القانون ذلك). كما نحتفظ بالحق في تحديد الكميات (بما في ذلك بعد تقديم طلب و/أو الإقرار به) وفي مراجعة أو تعليق أو إنهاء فعالية أو عرض ترويجي أو متجر في أي وقت دون إشعار (بما في ذلك بعد تقديم طلب و/أو الإقرار به). ولا يضمن عرض أي منتجات أو خدمات و/أو تجارب في وقت معين أن هذه المنتجات أو الخدمات و/أو التجارب ستكون متاحة. وإذا كان أي منتج أو خدمة و/أو تجربة نعرضها ونبيعها غير مطابق للوصف، فإن تعويضكم الوحيد هو إرجاعه مع مراعاة الشروط المنصوص عليها في هذه الوثيقة.

باستثناء محتوى الأعضاء، تقرّون وتوافقون على أن الخدمات والمحتوى والبرامج والمواد والمكوّنات الأخرى (بما في ذلك على سبيل المثال لا الحصر شعاراتنا ورسوماتنا ومقاطع الفيديو والموسيقى وأيقونات الأزرار وترويسات الصفحات) المستخدمة فيما يتعلق بالخدمات هي ملك لـ italist و/أو شركاتها التابعة أو الفرعية أو مرخّصيها، وهي محمية بحقوق النشر والعلامات التجارية وعلامات الخدمة أو حقوق وقوانين ملكية أخرى. وباستثناء ما هو منصوص عليه صراحةً في هذه الوثيقة، لا يجوز اعتبار أي شيء في هذه الشروط بمثابة إنشاء ترخيص في أو بموجب أي من حقوق الملكية الفكرية هذه، وتوافقون على عدم بيع أو ترخيص أو تأجير أو تعديل أو توزيع أو نسخ أو استنساخ أو نقل أو عرض علني أو أداء علني أو نشر أو تكييف أو تحرير أو إنشاء أعمال مشتقة من المحتوى أو المواد المتاحة على مواقعنا الإلكترونية أو تطبيقاتنا للهاتف المحمول أو فيما يتعلق بالخدمات.

قد تختارون تقديم تعليقات أو أفكار حول الخدمات أو قد ندعوكم لتقديمها، بما في ذلك على سبيل المثال لا الحصر حول كيفية تحسين الخدمة أو منتجاتنا ("الأفكار"). وبتقديم أي فكرة، توافقون على أن إفصاحكم تطوّعي وغير مطلوب ودون قيود ولن يضع italist تحت أي التزام ائتماني أو غيره، وأننا أحرار في استخدام الفكرة دون أي تعويض إضافي لكم، و/أو الإفصاح عن الفكرة على أساس غير سري أو بأي شكل آخر لأي شخص.

(أ) تقديم طلب. باستخدام الخدمات، توافقون على شروط الطلبات والشحن الخاصة بنا، المتاحة حالياً على https://www.italist.com/us/customer_service/orders_and_shipping/، والتي قد نحدّثها من وقت لآخر.

(ب) عدم البيع للأطفال. لا تبيع italist المنتجات عبر خدماتها للأطفال، بل للبالغين فقط، الذين يمكنهم الشراء ببطاقة ائتمان أو طريقة دفع أخرى مسموح بها. وإذا كان عمركم أقل من ثمانية عشر (18) عاماً، فيجوز لكم استخدام الخدمات فقط من خلال أحد الوالدين أو وصي قانوني.

(د) العروض. تقرّون وتوافقون على أن أي عروض تُتاح عبر الخدمات تخضع للتغيير في أي وقت ومن وقت لآخر.

(هـ) الشحن. سنشحن المنتج (المنتجات) التي تشترونها عبر الخدمات وفقاً لطرق وشروط الشحن الخاصة بنا فقط، المتاحة حالياً على https://www.italist.com/us/customer_service/orders_and_shipping/، والتي قد نحدّثها من وقت لآخر. وسيستغرق متجرنا الشريك أيام عمل إضافية لتجهيز شحنات المجوهرات والمستلزمات المنزلية. وسنرسل إليكم رسالة تأكيد بالبريد الإلكتروني مع رابط التتبّع بينما يكون المنتج في طريقه إليكم.

(ح) المقيمون في كاليفورنيا. مزوّد الخدمات مبيّن في هذه الوثيقة. إذا كنتم مقيمين في كاليفورنيا، فوفقاً لـ Cal. Civ. Notwithstanding any other rights or restrictions in these Terms, you may not use the Services to: (a) transmit via or through the Services any information, data, text, images, files, links, or software except in connection with your authorized use of the Services or otherwise in response to specific requests for information by us; (b) introduce to our websites or mobile applications or otherwise in connection with the Services any computer or website viruses, worms, Trojan horses and/or harmful code; (c) obtain unauthorized access to any computer system; (d) impersonate any other person, including but not limited to, a registered user of the Services or an employee of italist; (e) invade the privacy or violate any personal or proprietary right (including intellectual property rights) of any person or entity; (f) misrepresent the identity of a user or use a false email address; (g) tamper with or obtain access to our websites or mobile applications or any component of any of them; (h) conduct fraudulent activities (including but not limited to, by way of example, unauthorized credit card use, placing an order with lack of funds or utilizing a false online payment account or service); or (i) collect or harvest information regarding other users of the Services for any reason whatsoever, including, without limitation, for sending such users unsolicited commercial email.

You may use the Services only as an individual bona fide purchaser. You may not use the Services on behalf of any third-party retailer, reseller, brand, corporate user, or the like. You may not use the Services to purchase any merchandise for purposes other than personal use. Prohibited practices shall include, without limitation, purchases on behalf of any third-party retailer, reseller, brand, corporate user, or the like.

You may never use another User's account without permission. When creating your account, you must provide accurate and complete information, and you must keep this information up to date. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. We encourage you to use "strong" passwords (passwords that use a combination of upper- and lower-case letters, numbers, and symbols) with your account. You must notify italist immediately of any breach of security or unauthorized use of your account. italist will not be liable for any losses caused by any unauthorized use of your account.

We may, without prior notice, change the Services; stop providing the Services or features of the Services, to you or to Users generally; or create usage limits for the Services. We may permanently or temporarily terminate or suspend your access to the Services without notice and liability for any reason, including if in our sole determination you violate any provision of these Terms, or for no reason. Upon termination for any reason or no reason, you continue to be bound by these Terms.

The Services are available to Members who are 18 years and older, who have properly registered, and who have not been suspended or removed by italist for any reason (a "Member"). By registering as a Member, you represent that you are of legal age. As a Member, you agree to provide true, accurate, current, and complete information about yourself as prompted by our registration form. Membership is void where prohibited by law. italist reserves the right to revoke or prohibit your membership for any reason at any time, without notice, but, in particular, upon any violation of any of these Terms of Use or the Privacy Policy.

You agree to abide by such other terms and conditions. If there is a conflict between these Terms and the terms posted or emailed for, or applicable to, a specific portion of the Services or products or services we offer or your membership, the latter terms shall control with respect to your use of that portion, those products or services or your membership.

If you registered as a user of italist.com, and you provide brand ambassador services to italist.com via a third party administered program, in addition to any terms and conditions to which you may be subject pursuant to such program, you also expressly represent, warrant, and agree that (i) you have all necessary permits, consents, and authorization to perform such services, without any legal or other conflict or impediment; (ii) you will be solely responsible for any and all tax reporting, liability and payments arising out of the consideration received for such brand ambassador services; and (iii) you agree to hold italist Inc. harmless from any and all claims arising out of or related to your performance of brand ambassador services.

Any and all content contributed by the Member in connection to our Services, including all photographs, articles, images, graphics, videos, sounds, music, audio recordings, text, files, profiles, communications, comments, feedback, reviews, suggestions, ideas, concepts, questions, data or other content (the "Member Content") is the responsibility of the Member, not italist, and is deemed nonconfidential and nonproprietary.

By submitting or posting any Member Content, you grant to italist and its affiliates a perpetual, irrevocable, royalty-free, worldwide, sublicensable and transferable license to copy, publish, translate, modify, reformat, create derivative works from, distribute, reproduce, sell, display, transmit, publish, broadcast, host, archive, store, cache, use or otherwise exploit all or any portion of the Member Content, as well as your name, persona and likeness included in any Member Content and your social media account handle, username, real name, profile picture and/or any other information associated with the Member Content, in any commercial or non-commercial manner whatsoever, in whole or in part, in any and all distribution channels, forms, media or technology, whether now known or hereafter developed, including but not limited to in stores, printed marketing materials, emails, web pages, social media accounts and for any other marketing, advertising, public relations, sales or promotional purposes with or without attribution and without further notice to you. Neither you nor any other person or entity, will have the right to (i) receive any royalty or consideration of any kind for the use of the Member Content pursuant to these Terms or (ii) inspect or approve the editorial copy or other material that may be used in connection with the Member Content. italist will be free to use any ideas, concepts, know-how or techniques contained in such Member Content for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products that incorporate or otherwise rely upon such information. italist shall have no obligation to monitor Member Content, use or display Member Content, compensate you for submitting Member Content or respond to any Member Content. italist retains the right, in its sole discretion and without prior notice, to remove, revise or refuse to post any Member Content for any reason or no reason. Subject to the licenses granted in these Terms, you retain ownership of any copyright and other rights you may have in the Member Content.

ITALIST HAS THE ABSOLUTE RIGHT TO REMOVE AND/OR DELETE WITHOUT NOTICE ANY MEMBER CONTENT WITHIN ITS CONTROL THAT IT DEEMS OBJECTIONABLE. YOU CONSENT TO SUCH REMOVAL AND/OR DELETION AND WAIVE ANY CLAIM AGAINST ITALIST FOR SUCH REMOVAL AND/OR DELETION.

Excluding Member Content, the information we provide in connection with the Services is believed to be complete and reliable; however, the information may contain typographical errors, pricing errors, and other errors or inaccuracies. We will use reasonable efforts to correct errors as soon as practicable. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from content or materials available on our websites or mobile applications or otherwise in connection with the Services.

You may choose to or we may invite you to submit comments or ideas about the Services, including without limitation about how to improve the Service or our products ("Ideas"). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place italist under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone.

(a) Placing an Order. By using the Services, you agree to our Orders and Shipping terms, currently available at https://www.italist.com/us/customer_service/orders_and_shipping/, as we may update them from time to time.

(b) No Sales to Children. italist does not sell products through its Services to children, but only to adults, who can purchase with a credit card or other permitted payment method. If you are under eighteen (18) years of age, you may use the Services only through a parent or legal guardian.

(c) Payment Methods. We use a third-party payment provider to process your Orders and purchases, and your use of the third-party payment provider's service may be subject to such provider's additional terms. We accept various payment methods for product purchases through our Services, which may include Mastercard, Visa, Visa Electron, and JCB. (d) Offers. You acknowledge and agree that any offers made available through the Services are subject to change at any time and from time to time.

(e) Shipping. We will ship the product(s) you purchase through the Services solely in accordance with our shipping methods and terms currently available at https://www.italist.com/us/customer_service/orders_and_shipping/, as we may update them from time to time. Our partner boutique will take additional working days to prepare jewelry and home goods shipments. We will send you an email confirmation with the tracking link as the product is on its way to you.

(f) Returns and Refund. italist will provide refunds and returns for products purchased through the Services solely in accordance with our Returns and Refunds policy currently available at https://www.italist.com/us/customer_service/orders_and_shipping/, as we may update them from time to time.

(g) Brand Ambassadors. From time to time, italist may offer a user the opportunity to participate in our Brand Ambassador Program. We will determine in our sole discretion the terms and conditions of such a program. Any user who participates in the Brand Ambassador Program agrees that italist retains sole and complete discretion of determining who may or may not participate in the Brand Ambassador Program. If you are an italist Brand Ambassador, we may end your participation in the program at any time, for no reason, at our sole discretion. You agree to return to italist any confidential materials and information that you received. As a Brand Ambassador, you shall not: Take any action that could reasonably cause any confusion to the Brand Ambassador's relationship with the company; Do anything harmful to the company's image and reputation; Share any coupon code, vouchers code, gift card, etc gained as a reward as rewards are intended only for our Brand Ambassadors to use; Disclose the activities, rewards, and other information made available to you by italist directly or through its Brand Ambassador portal to any third party.

If you access a third-party website or service from the Services or share your Member Content on or through any third-party website or service, you do so at your own risk, and you understand that these Terms and italist's Privacy Policy do not apply to your use of such sites. You expressly relieve italist from any and all liability arising from your use of any third-party website, product, service, or content, including without limitation member Content submitted by other Users. Additionally, your dealings with or participation in promotions of advertisers found on the Service, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers. You agree that italist shall not be responsible for any loss or damage of any sort relating to your dealings with such advertisers.

ITALIST IS NOT AND SHALL NOT BE AT ANY TIME RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND, INCLUDING PERSONAL INJURY OR DEATH, (WHETHER IN TORT, CONTRACT, OR STRICT LIABILITY) ARISING OUT OF OR RELATED TO ANY PRODUCTS PURCHASED, MEMBER CONTENT, OR TO ANY ACT OR OMISSION BY MEMBERS, BY ITALIST OR BY ANY THIRD PARTY OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN CONNECTION WITH THE SERVICES.

THE SERVICES, ALL PRODUCTS PURCHASED, THE CONTENT USED IN CONNECTION WITH THE SERVICES AND ALL TEXT, IMAGES, MERCHANDISE, AND OTHER INFORMATION ON, ACCESSIBLE FROM OR AVAILABLE THROUGH OR IN CONNECTION WITH THE SERVICES ARE PROVIDED ON AN "AS AVAILABLE" AND "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ITALIST OR ITS AFFILIATES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, SUBSIDIARIES, DIVISIONS, DISTRIBUTORS, SUPPLIERS, AFFILIATES, OR THIRD PARTIES PROVIDING INFORMATION ON OR IN CONNECTION WITH THE SERVICES BE LIABLE TO ANY USER OF THE SERVICES OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES.

IN NO EVENT SHALL ITALIST, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO ITALIST HEREUNDER OR USD $100.00, WHICHEVER IS GREATER.

THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF ITALIST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

We make no representation that information available in connection with the Services is appropriate or available for use outside the United States. Those who choose to access the Services from outside the United States do so on their own initiative and risk and are responsible for compliance with local laws, if and to the extent local laws are applicable. You may not use the Services if you are a resident of a country embargoed by the United States, or are a foreign person or entity blocked or denied by the United States government.

The items purchased through the Services are shipped by a third-party carrier pursuant to a shipment contract. As a result, risk of loss and title for such items pass to you upon our delivery to the carrier. In addition, the Services may be temporarily unavailable from time to time for maintenance or other reasons. YOU AND ITALIST ALSO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER IN ARBITRATION ONLY IN YOUR OR ITALIST'S INDIVIDUAL CAPACITY AND IN SO DOING YOU AND ITALIST HEREBY WAIVE THE RIGHT TO A TRIAL BY JURY, TO ASSERT OR PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS ACTION ARBITRATION, TO ASSERT OR PARTICIPATE IN A PRIVATE ATTORNEY GENERAL LAWSUIT OR PRIVATE ATTORNEY GENERAL ARBITRATION, AND TO ASSERT OR PARTICIPATE IN ANY JOINT OR CONSOLIDATED LAWSUIT OR JOINT OR CONSOLIDATED ARBITRATION OF ANY KIND.

Either party may initiate arbitration, which shall be conducted by the American Arbitration Association ("AAA") pursuant to its Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes in effect on the date the arbitration is filed ("AAA Rules"). You agree that: (i) the Services shall be deemed solely based in California; and (ii) the Services shall be deemed a passive one that does not give rise to personal jurisdiction over us, either specific or general, in jurisdictions other than California. These Terms (together with the Privacy Policy) and any Claims shall be governed by the internal substantive laws of the State of California, without regard to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the personal jurisdiction of the federal and state courts located in Los Angeles County, California for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.

Your continued use of the Services after any change, regardless of whether a change was received by you directly, indicates your acceptance and agreement to any such change. Unless otherwise specified herein, these Terms, together with the Privacy Policy and any supplemental terms, including the Orders and Shipping and Returns and Refunds policies, constitute the entire agreement between you and italist with respect to the Services and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and italist with respect to the Services. If any part of these Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. The failure of italist to act with respect to a breach by you or others does not waive italist's right to act with respect to subsequent or similar breaches. italist's failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by italist without restriction. The section headings contained in these Terms are included for convenience only and shall not limit or otherwise affect the terms of these Terms.

The italist mobile message service (the "Service") is operated by italist ("italist", "we", or "us"). Your use of the Service constitutes your agreement to these terms and conditions ("Mobile Terms"). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to italist's SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of italist through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with italist. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to +32829 in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other italist mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.
